The prices quoted are in United States dollars (USD) and exclusive of Taxes, unless otherwise indicated.
The prices quoted are valid for 30 days from the date of the quotation, unless otherwise stated on the quotation.
Customer or Reseller (on behalf of Customer) agrees that the purchase of any Torus hardware (eg cabinet) is bound by the terms and conditions set forth at https://link.inversecurve.co/termsandconditions.
Upfront payment is required unless otherwise agreed.
Requests for delayed delivery require a 25% deposit to be paid.
Payment by credit card will incur a 2.5% surcharge. InverseCurve accepts MasterCard and Visa.
Without limiting InverseCurve right to require payment of any amounts due under any invoice in full on the due date, InverseCurve reserves the right to charge you interest on any amounts not paid to InverseCurve when due. Interest will be calculated on a daily basis at the rate per annum which is 7% above the then-current St George Bank commercial base rate for Australia.
Delivery
Goods are provided on Ex-Factory basis, unless a shipping quotation is provided on this quotation.. Customer is to arrange collection from Torus Australian Warehouse, all Tax and Duties to be paid by customer.
All goods remain the property of InverseCurve Pty Ltd until full payment is received, and funds cleared.
InverseCurve reserves the right to reject a client’s purchase order in its absolute discretion.
Where InverseCurve is providing installation services, the invoice will be split into two parts; goods and services. A second invoice for services will be provided after installation has been completed.
Installation
This quotation does not include the provision of any required power outlets, cabling or network connections. Products are supplied with a standard power lead for connection to a General Power Outlet (i.e. 110 - 240 Volts). InverseCurve technicians are not licensed to provide, install or modify electrical power connections.
Provision of any required power outlets, cabling and network configuration is the responsibility of the Customer or Reseller to complete prior to installation.
Where installation is included it shall take place on the agreed date. Additional charges may apply if Installation and Training is supplied in stages on different dates.
Additional labour will be charged at standard rates if installation is not completed within the allotted time due to reasons outside of InverseCurve control.
If installation on the agreed date cannot progress due to client delays, then an invoice for the complete amount of purchase will be issued and become payable from that date. In such instances, any subsequent visits by InverseCurve Technicians to complete installation may incur additional charges.
Where InverseCurve Technicians are required to undergo an induction (or any specific training) in order to access the site for installation, this time will be billed to the Customer.
InverseCurve reserves the right to inspect all installations that have been completed by a third party and requires the installer to rectify any aspects that have not been completed in accordance with User Guide and technical specifications.
Training
End User training, if provided by a InverseCurve Technician, is offered as a one-time training session regardless of the number of cabinets purchased. As agreed, it may be conducted onsite or remotely at the time of installation of the cabinet.
If the client is not available for onsite training at time of installation, additional charges will apply for labour and travel.
Any additional onsite training requested by the client will be charged at standard hourly rate.
Additional charges will apply where InverseCurve Technician is required to complete a site induction.
Warranty
Goods are provided with a standard two-year warranty on Equipment and parts only. Warranty commences from the date of despatch from Torus Australia warehouse unless otherwise agreed in writing with InverseCurve.
You agree to:
visually inspect the Product(s) upon delivery and will promptly advise InverseCurve of any damage to the Product(s) or any matter that causes the Product(s) to be not of merchantable quality;
provide written details of any such damage or matter, including evidence, if appropriate, by notice to InverseCurve not later than seven (7) days after the Product(s) are delivered; and
arrange for the return of such Product(s) to InverseCurve within 14 days of accepted warranty claim;
If no notice is given to InverseCurve under this clause, the products will be deemed fit for purpose and of merchantable quality.
The warranty does not cover, and InverseCurve will not be liable for, ordinary wear and tear or any malfunction, damage or wear caused by:
inappropriate or inadequate installation, use or maintenance;
negligence, accident or tampering;
introducing or substituting incompatible components;
interactions with equipment or materials not supplied by us; or
matters outside InverseCurve' reasonable control.
If you wish to seek repairs or replacements for any item of Equipment under the warranty:
you must obtain a return authorisation number (RA) from InverseCurve' Customer Support Department contactable on 1800 328 993 (or internationally +61 7 2139 8600) or by E-mail at support@inversecurve.co
you must provide proof that you obtained the item of Equipment from InverseCurve in the form of a InverseCurve invoice or delivery docket before making any warranty claims or returns; and
you are responsible for all freight and associated costs of returning the Equipment for assessment to InverseCurve. If the problem with the Equipment is not covered by the warranty, a quotation will be provided for the repair or replacement of the Equipment and any items returned to you after the assessment will be shipped at your expense. Any item of Equipment repaired or replaced under the warranty will be shipped ex-factory at InverseCurve' expense.
No claims or returns under the warranty will be processed without a valid RA and any item of Equipment returned without an RA will not be accepted.
You acknowledge and agree that if InverseCurve performs any services in repairing or replacing any item of Equipment or Software under the warranty, those services do not include:
the recovery of data from the Equipment or Software (including any databases or electronic files created by the Equipment or Software). You also acknowledge and agree that the Services could result in data being lost or corrupted in the course of an item of Equipment or Software being repaired, maintained or replaced and that InverseCurve is not liable under any circumstances in relation to that data; or
repairs or maintenance in respect of any feature, characteristic or behaviour of the Equipment or the Software which is an intended or ordinary feature, characteristic or behaviour of the Equipment or the Software, or which is incidental to the design or ordinary operation of the Equipment or the Software.
You must return any damaged or defective parts replaced under the warranty to InverseCurve office within 14 days of a replacement being provided. If you fail to do so InverseCurve will send you an invoice for the replacement Equipment or parts requiring payment of their full value.
Subject to warranty defined above, InverseCurve excludes all terms, conditions, warranties, undertakings, inducements or representations whether express or implied, statutory or otherwise relating in any way to the Equipment, the Software or this Agreement to the fullest extent permitted by law, including any warranty that the Equipment will meet your requirements.
Faults arising from an installation not performed in accordance with the instructions provided in the User Guide and other training material are not covered under standard warranty.
After-Sales service and repair work is charged at hourly rates, these rates to be advised at the time of booking. These service charges are rounded up to the nearest hour.
Cancellation of Order
Cancellation of order may be accepted within 24 hours of receipt of Purchase Order. For cancellations after this time, a 20% payment of the complete Purchase Order will be required. 100% payment will be required for any peripherals or consumables.
